These Terms of Service ("Terms") govern your use of our website and services. Our Privacy Policy is incorporated into these Terms by reference and can be found at helmdigitalenterprise.com/privacy.

- Logo design, brand guides, and AI-generated professional headshots

- Website design, Google Business Profile management, and reputation management

- SEO for AI search platforms

- YouTube thumbnail design, press release distribution, and motion video ads

- AI voice receptionist setup and AI chatbot setup

Specific deliverables, pricing, and timelines for each service are outlined on our website and confirmed at the time of purchase.

3. AI-Generated Content Disclaimer

Many of our services are fulfilled using artificial intelligence tools. By purchasing these services you acknowledge and agree that:

- AI-generated content (including logos, headshots, videos, and thumbnails) may not be entirely unique and similar outputs could be produced for other clients

- You are purchasing the output for commercial use and accept full responsibility for how it is used

- We make no guarantees that AI-generated content will be free of errors, artifacts, or imperfections, though we will make reasonable efforts to deliver quality results

- AI tools and models are subject to change, which may affect future deliverables

- Our website may occasionally provide draft templates or AI-generated materials for client use. These do not constitute legal advice and do not create an attorney-client relationship

4. Client Responsibilities

You agree to:

- Provide accurate information, assets, and materials needed to fulfill your service

- Respond to our communications in a timely manner

- Own or have the rights to any content, images, or materials you provide to us

- Comply with all applicable laws, including intellectual property, publicity, and contract laws

- Back up your own content and data — we are not responsible for any loss of data

5. Payment Terms

- One-time services are due in full prior to work beginning

- Monthly retainer services are billed at the start of each billing cycle

- Billing cycles are set on a monthly basis unless otherwise agreed

- Invoices not paid within 7 days of the due date may result in a pause or termination of services

- A valid payment method is required to maintain active subscription services

- For services where clients are billed directly by third-party platforms (such as cytd.ai), those platforms' own payment terms apply

6. Fee Changes

We reserve the right to modify our service fees at any time. For monthly retainer services, we will provide reasonable prior notice of any fee change before it takes effect. Your continued use of the service after a fee change constitutes your agreement to pay the updated amount. You may cancel your retainer prior to the change taking effect if you do not wish to continue at the new rate.

7. Refund Policy

Your satisfaction is our priority. If you are not happy with a deliverable, please contact us and we will work with you to resolve the issue through revisions or adjustments first.

- One-time services: Refund requests must be submitted within 7 days of delivery. We will first attempt to resolve your concern through revisions before issuing a refund

- Monthly retainer services: You may cancel at any time with written notice. The current billing period will not be refunded but no future charges will be made

- Services involving third-party platform costs already incurred (such as press release distribution submissions) are non-refundable once submitted to the platform

8. Prohibited Uses

You agree to use our Services only for lawful purposes. The following are strictly prohibited:

- Violating any applicable national or international law or regulation

- Exploiting, harming, or attempting to harm minors in any way

- Transmitting spam, junk mail, or unsolicited promotional material

17. Termination

We reserve the right to terminate or suspend services immediately, without prior notice, if you breach these Terms or engage in prohibited conduct. You may terminate monthly retainer services at any time with written notice. Upon termination, any outstanding invoices remain due and payable. Sections of these Terms that by their nature should survive termination — including intellectual property, warranty disclaimers, and limitation of liability — shall continue to apply.

18. Force Majeure

We shall not be liable for any failure or delay in delivering services caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, cyberattacks, government actions, power outages, or disruptions to third-party platforms we rely upon to fulfill services.

19. Dispute Resolution

We prefer to resolve disputes informally. If you have a concern, please contact us at [email protected] and we will make a good faith effort to resolve the issue before any formal legal action is taken.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of Maryland.

21. Amendments to Terms

We reserve the right to update these Terms at any time by posting the revised version on our website. Your continued use of our Services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.

22. Waiver and Severability

No waiver of any term or condition shall be deemed a continuing waiver of that term or any other term. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
